Acceptance of These Terms

These Terms of Service apply to your access to and use of Bagoria’s website, online storefront, product pages, checkout experience, customer services, communications, and related features collectively referred to as the “Site.”

In these Terms, “Bagoria,” “we,” “us,” and “our” refer to the operator of the Site. “You” and “your” refer to any visitor, customer, account holder, purchaser, or other person accessing or using the Site.

By visiting the Site, creating an account, submitting information, purchasing a product, or otherwise using any part of the Site, you agree to be bound by these Terms and any policies or notices made available as part of the shopping experience.

We may suspend, restrict, or close an account where reasonably necessary to protect customers, prevent fraud, comply with legal obligations, or address a violation of these Terms.

Products, Descriptions, and Availability

Bagoria offers fashion and lifestyle products that may include Handbags, Tote Bags, Crossbody Bags, Backpacks, Duffel Bags, T-Shirts, Dresses, Brooches, Belts, and related items.

We aim to describe and present products accurately. However, product photography, digital displays, lighting, image processing, manufacturing methods, materials, dye lots, hardware finishes, and individual device settings may affect how a product appears.

Color, Texture, and Finish

Actual colors may vary from the colors displayed on your screen. Natural or manufactured materials may also show reasonable differences in grain, texture, stitching, pattern placement, tone, surface finish, or hardware. These variations do not automatically indicate a defect.

Measurements and Fit

Product dimensions and garment measurements may be approximate. Clothing fit can vary according to design, fabric, construction, body shape, and personal preference. Customers should review all available sizing, measurement, material, and care information before purchasing.

Availability

Product availability is not guaranteed. We may limit quantities, update assortments, discontinue products, revise descriptions, or correct errors without prior notice, subject to applicable law and existing confirmed orders.

Pricing, Taxes, and Corrections

Prices are displayed in the currency indicated on the Site. Unless otherwise stated, displayed prices do not necessarily include shipping charges, delivery fees, duties, taxes, or other amounts that may apply to an order.

Applicable sales tax or similar charges may be calculated during checkout based on the information available at the time of purchase, including delivery destination and applicable legal requirements.

We may correct typographical errors, inaccurate pricing, incorrect discounts, product-description errors, or other mistakes. Where an error affects an order, we may contact you for instructions, offer the corrected terms, or cancel and refund the affected item as appropriate.

Orders and Order Acceptance

When you submit an order, you are making an offer to purchase the selected products under these Terms. An automated order confirmation acknowledges that we received your order request but does not necessarily mean the order has been finally accepted.

We may review orders before acceptance. An order may be declined, limited, placed on hold, or canceled for legitimate reasons, including:

Payment Authorization and Billing

Payment information may be processed by authorized payment-service providers. Bagoria may not directly receive or store complete payment-card details handled by those providers.

Payment authorization may occur when an order is submitted, while final capture may occur at another point in the order process. Your financial institution may place a temporary authorization hold even if an order is later canceled.

You remain responsible for charges, fees, taxes, currency-conversion amounts, or other costs imposed by your financial institution, except where Bagoria is legally responsible for those amounts.

Shipping, Delivery, and Risk

Shipping estimates are provided in good faith and are based on available information at the time of purchase. They are estimates unless expressly stated otherwise and may be affected by order verification, inventory, address accuracy, carrier operations, weather, customs, peak periods, or events outside Bagoria’s reasonable control.

Address Responsibility

You are responsible for reviewing the delivery name, street address, apartment or unit number, city, state, postal code, and other delivery information before submitting an order. Bagoria is not responsible for delay or loss caused by inaccurate information supplied by the customer, except where applicable law provides otherwise.

Delivery Events

A carrier’s tracking status may indicate when a shipment is in transit, delayed, attempted, held, or delivered. If a package appears delayed, damaged, missing, or incorrectly delivered, contact customer support with the relevant order information so the matter can be reviewed.

Unexpected Delays

If Bagoria cannot ship within the stated or legally applicable period, we may provide an updated estimate, request consent to a delay, offer available alternatives, or issue a refund as required by applicable law.

Risk of Loss

To the extent permitted by applicable law, responsibility for physical loss or damage transfers according to the applicable delivery terms and carrier process. Nothing in this section limits legal rights relating to goods that are lost, damaged, misdelivered, or not delivered.

Returns, Exchanges, and Refunds

Returns, exchanges, and refunds are governed by the return conditions presented on the Site and made available during the customer experience. Those conditions form part of these Terms.

Eligibility may depend on factors such as the return request date, product condition, original packaging, tags, hygiene protections, proof of purchase, product category, and whether an item was customized, used, worn, washed, altered, or damaged after delivery.

Fashion and Accessory Condition

• Clothing should be returned unworn, unwashed, unaltered, and free from fragrance, cosmetics, deodorant, stains, or other signs of use.
• Bags should be returned without wear, scratches, staining, odor, deformation, missing protective materials, or damage to hardware.
• Brooches, belts, and accessories should include all supplied parts, packaging, protective pieces, and attachments where required.
• Items that present hygiene, safety, customization, final-sale, or regulatory concerns may be excluded from return where clearly disclosed and legally permitted.

Approved refunds are generally issued to the original payment method. Processing times may vary depending on the payment provider or financial institution. Original shipping charges, return shipping costs, duties, taxes, or other fees may be nonrefundable where disclosed and permitted by applicable law.

Promotions, Discounts, and Offers

Bagoria may offer discount codes, automatic discounts, sale prices, limited-time promotions, gifts, bundles, or other incentives. Each offer may be subject to separate conditions, including start and end dates, product exclusions, minimum purchase requirements, customer eligibility, quantity limits, or geographic restrictions.

Unless expressly stated otherwise:

• Promotions cannot be combined with other offers.
• Discounts have no cash value and cannot be redeemed for cash.
• Discounts cannot be applied retroactively to completed purchases.
• Excluded, canceled, refunded, or returned items may affect eligibility.
• Promotional availability may end when inventory is exhausted.
• Abusive, automated, deceptive, or unauthorized use is prohibited.

We may correct, suspend, or cancel a promotion affected by technical errors, fraud, misuse, or inaccurate information, subject to applicable law.

Acceptable Use and Prohibited Conduct

You may use the Site only for lawful personal or commercial activity that does not violate these Terms, interfere with Site operations, or harm Bagoria, its customers, service providers, or other persons.

You must not:

• Submit false orders, chargeback abuse, or unauthorized payment details.
• Use Site content to create confusingly similar or misleading services.

Intellectual Property and Site Content

The Site and its content may include names, logos, product photography, graphics, layouts, text, descriptions, icons, videos, artwork, styling, code, interfaces, and other materials owned by or licensed to Bagoria.

Subject to these Terms, Bagoria grants you a limited, personal, nonexclusive, nontransferable, and revocable right to access and use the Site for lawful shopping and informational purposes.

You may not reproduce, republish, distribute, sell, license, modify, create derivative works from, publicly display, commercially exploit, or remove ownership notices from Site content without prior written permission, except where applicable law expressly allows the activity.

No right, title, or interest in Bagoria’s intellectual property is transferred to you through your use of the Site or purchase of a product.

Reviews, Feedback, and User Content

The Site may allow customers to submit reviews, photographs, comments, feedback, suggestions, questions, or other content. You remain responsible for content you submit.

You represent that you own or have permission to submit the content and that it does not violate law, confidentiality obligations, intellectual property, privacy, publicity, or other rights.

By submitting content to Bagoria, you grant Bagoria a worldwide, nonexclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, adapt, publish, translate, and use that content in connection with operating, improving, promoting, and presenting the Site and Bagoria’s products, subject to applicable law and our privacy practices.

We may moderate, decline, remove, or restrict content that is unlawful, misleading, irrelevant, abusive, defamatory, infringing, unsafe, promotional, fraudulent, or inconsistent with these Terms.

Third-Party Services and Technology

Bagoria may rely on third-party providers for services such as website hosting, payment processing, fraud prevention, analytics, communications, order tracking, fulfillment, shipping, customer support, and other business operations.

Your use of a third-party service may also be subject to that provider’s terms and privacy practices. Bagoria does not control every aspect of independently operated third-party systems.

To the extent permitted by law, Bagoria is not responsible for an independent third party’s acts, omissions, outages, policies, security, content, or services. This limitation does not excuse Bagoria from responsibilities that applicable law places directly on Bagoria.

Privacy and Electronic Communications

Bagoria’s collection, use, and disclosure of personal information are governed by the privacy disclosures made available on the Site.

By providing your email address, telephone number, delivery information, or other contact details, you authorize Bagoria and its authorized providers to send transactional communications reasonably related to your activity, such as order confirmations, payment notices, delivery updates, security alerts, return information, and support messages.

Marketing communications are subject to applicable law and the consent choices presented to you. Where an unsubscribe or preference option is provided, you may use it to manage eligible marketing communications. Transactional communications may continue when necessary to complete or support a purchase.

Service and Product Disclaimers

To the fullest extent permitted by applicable law, the Site and its content are provided on an “as available” basis. Bagoria does not guarantee that the Site will always be uninterrupted, error-free, secure, or compatible with every device, browser, or network.

Product information is provided for general shopping purposes. Unless expressly stated otherwise, fashion products and accessories are not medical, protective, therapeutic, safety-certified, or professional equipment and should not be used as substitutes for products designed for those purposes.

Care and Use

Customers are responsible for following product-specific care, installation, storage, cleaning, and safety instructions. Improper use, overloading, alteration, exposure, washing, cleaning chemicals, excessive heat, moisture, sharp objects, or unsuitable storage may damage products.

Accessory Safety

Brooches, pins, buckles, straps, detachable hardware, packaging, and small components should be handled carefully and kept away from young children where they may present a sharp-point, entanglement, or choking hazard.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions in this section apply only to the extent legally permitted.

Limitation of Liability

To the fullest extent permitted by applicable law, Bagoria and its owners, personnel, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to the Site, a product, these Terms, or your use of the services.

This may include loss of profits, revenue, data, business opportunity, goodwill, or anticipated savings, even if the possibility of such loss was known.

To the fullest extent permitted by law, Bagoria’s aggregate liability for a claim relating to a product or order will not exceed the amount you paid to Bagoria for the product or order giving rise to the claim.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Bagoria and its owners, personnel, affiliates, contractors, and service providers from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable expenses arising from:

• Your unlawful or unauthorized use of the Site.
• Your material violation of these Terms.
• Your infringement of another person’s rights.
• Content you submit through the Site.
• Your fraudulent, abusive, or intentionally harmful conduct.

This section does not require you to indemnify Bagoria for conduct for which indemnification cannot legally be required.

Suspension and Termination

You may stop using the Site at any time. Bagoria may suspend or terminate access to the Site, an account, a feature, or a service where reasonably necessary to:

• Address a violation of these Terms.
• Protect the Site, customers, Bagoria, or third parties.
• Prevent suspected fraud, abuse, or unlawful activity.
• Comply with law, legal process, or a service-provider requirement.
• Discontinue or materially change a feature or service.

Termination does not remove obligations or rights that arose before termination. Provisions that logically should survive termination, including intellectual property, disclaimers, liability limitations, indemnification, and general legal terms, will remain effective.

Governing Law and Disputes

These Terms and disputes arising from or relating to the Site, products, services, or transactions will be governed by the laws of the State of Alabama and applicable United States federal law, without giving effect to conflict-of-law principles, except where the laws of your jurisdiction provide mandatory protections that apply regardless of this provision.

Before beginning formal proceedings, you and Bagoria are encouraged to attempt to resolve the matter in good faith through customer support. This informal process does not prevent either party from seeking urgent relief or exercising a right that is subject to a legal deadline.

Unless applicable law requires otherwise, legal proceedings may be brought in a court with lawful jurisdiction in Alabama. You retain any right to bring a claim in another forum where applicable law does not permit that right to be waived.

Changes and General Legal Terms

Changes to These Terms

Bagoria may update these Terms to reflect changes in our business, products, services, technology, legal obligations, or operating practices. The updated effective date will be displayed when revised Terms are published.

Changes apply prospectively unless otherwise stated or legally required. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms where permitted by law.

Severability

If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted or severed, while the remaining provisions will continue in effect.

No Waiver

A failure or delay by Bagoria to enforce a provision does not waive the right to enforce that provision or another provision later.

Assignment

You may not assign or transfer your rights or obligations under these Terms without Bagoria’s prior written consent. Bagoria may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or other lawful business transaction.

Force Majeure

Bagoria will not be responsible for delay or failure caused by events beyond reasonable control, including severe weather, natural disasters, war, civil unrest, labor disruption, carrier interruption, utility or network failure, government action, public-health events, supply interruption, or widespread technical failure. This provision does not remove refund or other obligations that applicable law requires.

Entire Agreement

These Terms, together with applicable policies, disclosures, product terms, and order information presented through the Site, form the entire agreement between you and Bagoria regarding the covered subject matter and replace prior or contemporaneous understandings on that subject.
